Educator Platform Agreement

This Educator Platform Agreement (the “Educator Agreement”) is a legally binding agreement between NurtureLoop Technologies Inc. (“NurtureLoop,” “we,” “us,” or “our”) and the individual Early Childhood Educator or other eligible childcare professional accepting this Agreement (“Educator,” “you,” or “your”).

This Educator Agreement supplements the NurtureLoop General Terms of Use. If an Educator-specific provision conflicts with the General Terms, this Educator Agreement governs to the extent of the conflict.

1. Nature of NurtureLoop

NurtureLoop operates an online technology marketplace that enables independently operated childcare centres and Early Childhood Educators to discover, communicate with, and enter into employment or work arrangements directly with one another. Except where applicable law provides otherwise, NurtureLoop does not employ, retain, dispatch, assign, supervise or pay Educators.

Educators independently determine which opportunities, if any, they wish to pursue. Centres independently determine which Educators, if any, they wish to engage. Subject to applicable law, any resulting employment or work relationship is directly between the applicable Centre and Educator. Nothing in this Agreement overrides a legal characterization or statutory obligation imposed by law.

2. Educator Eligibility

By creating or maintaining an Educator account, you represent that you are legally permitted to perform the work you pursue, that your profile and credentials are truthful and current, that you possess the qualifications you represent, that you will maintain credentials required for work you undertake, and that you will not accept duties you are not legally permitted, qualified or reasonably competent to perform.

3. Profile Accuracy

All information you submit must be truthful, accurate, current and not materially misleading, including identity, contact information, certification, education, first aid, police information, employment history, experience, résumé, references, availability, qualifications, employment preferences and timesheet information. You must update material information when it changes.

4. Fraudulent or Altered Documents

NurtureLoop has zero tolerance for fraudulent credentials or identity documentation. You must not submit forged, altered, stolen, fabricated or materially misleading certificates, police information, first-aid records, employment records, references, résumés, identity documents or other records.

NurtureLoop may immediately impose a precautionary suspension where it reasonably suspects material document fraud and may permanently terminate an account where fraud is sufficiently substantiated. Relevant information may be preserved or disclosed where permitted or required by law.

5. Credential Verification

NurtureLoop may authenticate or review professional credentials as an administrative Platform function. Verification does not constitute an employment recommendation, endorsement, guarantee of competence, suitability, character, future conduct, attendance, safety or fitness for every Centre or assignment.

Centres may independently verify credentials and conduct other lawful due diligence. You authorize credential processing as described in the Privacy Policy and any specific consent presented when sensitive documentation is collected.

6. Continuing Eligibility

You must promptly update NurtureLoop regarding a material change affecting a credential or your legal eligibility to perform childcare work, including suspension or cancellation of certification, conditions materially affecting eligibility, expiration or loss of required first-aid certification, changes to legal work eligibility, or material inaccuracies discovered in documentation previously submitted.

You remain independently responsible for any reporting obligations imposed directly on you by law or by your professional certification requirements.

7. Child Safety

Protection of children is a fundamental condition of using NurtureLoop. When working at a Centre, you must place children’s health, safety, dignity and well-being ahead of convenience or personal preference and comply with applicable law, lawful Centre policies and professional requirements.

You must provide appropriate supervision; maintain professional boundaries; follow emergency, allergy, medical and authorized-pickup information provided to you; use lawful child-guidance practices; address ratio or supervision concerns appropriately; report incidents as required; protect child and family confidentiality; seek assistance when circumstances exceed your authority or ability; and take reasonable steps within your role to protect children from foreseeable harm.

8. Prohibited Conduct Involving Children

You must never engage in physical, sexual or emotional abuse; neglect; deliberate inadequate supervision; corporal punishment; humiliating or degrading treatment; grooming; inappropriate sexual communication or contact; threats or violence; unlawful restraint; reckless conduct creating unreasonable risk; unauthorized photography or recording; unauthorized sharing of child information; work while impaired in a manner compromising safety; illegal drug use at a Centre; theft; or other conduct creating a serious risk to a child.

Serious suspected misconduct may result in immediate precautionary suspension. NurtureLoop is not required to wait for completion of a criminal, employment, licensing or child-protection proceeding before restricting Platform access where immediate restriction is reasonably necessary for safety.

9. Reporting Obligations

Nothing in this Agreement limits or replaces your legal reporting obligations. Reporting to NurtureLoop, a Centre director or another employee does not substitute for contacting the appropriate authority where law requires you to report directly.

Where a serious Platform-related safety incident occurs, you should also use NurtureLoop’s applicable reporting mechanism as soon as reasonably practicable after immediate child-safety and legal reporting requirements have been addressed.

10. Unsafe Centre Conditions

You are not required by this Agreement to ignore unsafe or unlawful conditions. If you reasonably believe children face immediate danger, serious hazards exist, staffing or supervision conditions are unsafe, or you are directed to perform unlawful work, take appropriate action consistent with applicable law and escalate the concern through the Centre and/or appropriate authority as required. Serious concerns should also be reported to NurtureLoop so Platform restrictions can be considered.

11. Centre Policies and Orientation

You are responsible for reviewing and following lawful site-specific policies and instructions applicable to your work. Ask questions when you do not understand emergency procedures, attendance, allergies, medical requirements, authorized pickup, room routines, supervision requirements, incident procedures, evacuation or another material safety requirement.

12. Shift Commitments, Attendance and Cancellations

Before accepting a Shift, review its location, date, time, duties, age group, compensation information and qualification requirements. Once confirmed, you are making a professional commitment to attend unless cancellation is permitted or circumstances reasonably prevent attendance.

You must notify the Centre and use the Platform cancellation process as soon as reasonably possible if you cannot attend. Repeated no-shows, deliberate abandonment, materially dishonest cancellation behaviour or repeated last-minute cancellations may result in warning, restriction, cancellation of future bookings, suspension or termination. Emergencies and relevant circumstances may be considered. NurtureLoop does not impose a monetary penalty under this Agreement.

13. Professional Conduct and Fitness for Duty

You must behave professionally and respectfully toward children, families, Centre personnel, other Educators, NurtureLoop personnel and others encountered through Platform use. Harassment, unlawful discrimination, threats, bullying, violence, sexual harassment and retaliation are prohibited.

You must report to work capable of safely performing accepted duties and must not work while impaired to an extent that compromises child safety or performance. This does not require disclosure to NurtureLoop of unrelated medical information.

14. Confidentiality and Privacy

You must keep child, family, Centre and other confidential information private and use it only for legitimate work purposes. Unless legally authorized or required, you must not photograph or record children, post children on social media, disclose identifying information, retain Centre child records, unnecessarily send child information through personal messaging, or disclose information obtained at one Centre to another.

You must use information obtained through NurtureLoop only for legitimate Platform and employment purposes and must not scrape, sell, publish, harvest or misuse Platform data. Confidentiality obligations continue after work or Platform participation ends.

15. Police Information and Sensitive Credentials

Where NurtureLoop permits or requires police information or vulnerable-sector documentation, you represent that the documentation is authentic and unaltered. NurtureLoop will handle it in accordance with the Privacy Policy and applicable law. Verification does not guarantee character, safety or future behaviour.

16. Timesheets and Work Records

You must submit truthful and accurate records of time worked and must not claim hours not worked, inflate hours, falsify arrival or departure times, manipulate timesheets, knowingly submit duplicate hours or collude to create false records. NurtureLoop timesheets and summaries are administrative tools, not pay statements, tax documents or guarantees that payment occurred.

17. Payment and Wages

Unless applicable law provides otherwise, the Centre engaging you is responsible for wages and employment-related payments owed to you. NurtureLoop does not ordinarily receive or hold your wages and does not guarantee Centre payment.

You should promptly report material non-payment or repeated late payment to NurtureLoop. NurtureLoop may investigate Platform-related evidence and restrict or suspend Centres for serious payment misconduct, but does not assume the Centre’s debt. Nothing in this Agreement removes your statutory rights against an employer or other legally responsible payer.

18. Government Funding and Wage Enhancement

NurtureLoop may display administrative information concerning wage enhancement or government funding. NurtureLoop does not guarantee eligibility, payment, reimbursement or calculation accuracy in every circumstance. Official government rules govern.

19. Permanent Jobs

You may apply for Permanent Jobs advertised by Centres. NurtureLoop does not guarantee interviews, offers, compensation, employment duration, workplace conditions, continued employment or accuracy of every Centre representation. You are responsible for truthfulness of your résumé, cover letters and applications and for independently evaluating prospective employers and offers.

20. Ratings, Reviews and Communications

Reviews must be honest and based on genuine experiences and must not contain knowingly false, threatening, unlawfully discriminatory, defamatory or otherwise unlawful material. Platform communications must be lawful and professional and must not be used for harassment, threats, fraud, impersonation, illegal activity or unauthorized disclosure of confidential information.

21. Account Security

Your account is personal to you. Maintain secure credentials, do not allow another person to work using your identity, do not create fraudulent duplicate identities, and promptly notify NurtureLoop of suspected unauthorized access.

22. Educator Access Is Free

Under NurtureLoop’s current business model, Educators do not pay NurtureLoop to access employment opportunities through the Platform. NurtureLoop will not introduce a charge prohibited by applicable law.

23. No Guarantee of Work or Centre Conduct

Creating an account does not guarantee Shifts, minimum hours, interviews, selection, income, ongoing work or permanent employment. NurtureLoop also does not guarantee workplace quality, management quality, payment performance, working conditions, continued Centre licensing, conduct of Centre personnel or suitability of a particular Centre.

NurtureLoop may use verification, reviews, reporting, suspensions and other trust-and-safety mechanisms, but these reduce risk rather than eliminate it.

24. Suspension and Termination

NurtureLoop may immediately restrict, suspend or terminate your account where reasonably necessary to protect children, Centres, Users, NurtureLoop or the public. Grounds may include suspected or substantiated credential or identity fraud, serious child-safety concerns, abuse or neglect, violence, theft, repeated no-shows, serious dishonesty, falsified timesheets, harassment, unlawful discrimination, security abuse, material violation of law, material breach or loss of eligibility.

A precautionary suspension is a Platform safety decision and not a determination of criminal, civil, employment, regulatory or professional liability.

25. Investigations and Cooperation

NurtureLoop may request relevant information concerning serious complaints. You must not knowingly provide false evidence or deliberately obstruct legitimate Platform safety reviews. NurtureLoop may preserve or disclose information where permitted or required by law. NurtureLoop is not a court, police agency or professional regulator and does not make final determinations reserved for those bodies.

26. Disclaimer and Limitation of Liability

The disclaimers and liability limitations in the General Terms apply to you. To the maximum extent permitted by law, NurtureLoop does not assume responsibility for independent acts or omissions of Centres or other third parties merely because you connected through the Platform. Subject to liabilities that cannot lawfully be excluded or limited, NurtureLoop’s aggregate liability to you arising from or relating to the Platform or this Agreement will not exceed CAD $100.

27. Educator Indemnification

To the maximum extent permitted by applicable law, you will indemnify and hold harmless NurtureLoop Technologies Inc. and its directors, officers, employees, contractors, agents and affiliates from third-party claims, liabilities, damages, penalties, judgments, losses, costs and reasonable legal expenses arising from your intentional misconduct, fraudulent documentation, material misrepresentation, breach of this Agreement, violation of law, unauthorized disclosure of confidential information, infringement of third-party rights, falsified work records, or acts or omissions for which you are legally responsible while performing work obtained through the Platform, except to the extent attributable to NurtureLoop conduct for which liability cannot lawfully be excluded or transferred.

28. Personal Information

NurtureLoop collects, uses and discloses personal information as described in the Privacy Policy and applicable law. Information necessary for legitimate staffing and employment purposes may be made available to authorized Centres as described in the Privacy Policy and applicable consent or notice mechanisms.

29. Electronic Acceptance, Records and Changes

You agree to electronic contracting to the extent permitted by law. NurtureLoop may retain your user ID, agreement type and version, effective date, acceptance timestamp, role and reasonable technical audit information and may preserve historical versions.

NurtureLoop may require re-acceptance when this Agreement is materially changed.

30. Governing Law and General Terms

This Agreement is governed by the laws of Alberta and the federal laws of Canada applicable therein. Subject to mandatory rights or jurisdiction that cannot be contracted out of, the parties submit to the courts of Alberta. The General Terms’ provisions concerning severability, waiver, assignment, survival and entire agreement apply.
